Terms & Conditions and Participation Agreement

1. Acceptance of the Terms
These Terms & Conditions (“Terms”) are entered into by and between you (“you” or “user”) and Charlotte Bourbon Society, LLC (“CBS,” “Company,” “we,” “us,” or “our”).
For purposes of these Terms, the “Company” includes:
- Charlotte Bourbon Society (CBS)
- North Carolina Agave Sociedad (NCAS)
- Charlotte Agave Sociedad (CAS)
- Any affiliated brands, chapters, programs, events, or future expansions operated by the Company
These Terms govern your access to and use of:
- www.cltbourbonsociety.com
- any other website, platform, or digital property operated by the Company
- membership participation
- attendance at any Company-hosted or Company-sponsored events
By accessing the Website, registering for membership, attending an event, purchasing tickets, or clicking “I Agree,” you acknowledge that you have read, understand, and agree to be bound by these Terms and our Privacy & Communications Policy.
If you do not agree to these Terms, you must not use the Website, participate in membership, or attend any Company events.
2. Eligibility
The Website, membership, and event participation are intended solely for individuals who:
- Are 21 years of age or older
- Reside in the United States
- Meet all legal requirements to form a binding contract
By participating, you represent and warrant that you meet these requirements.

The Company operates membership-based communities and experiences.
Membership eligibility may be limited by geography, availability, or discretion of the Company.
The Company reserves the right to:
- Approve or deny membership applications
- Suspend or terminate membership or participation
- Remove individuals from affiliated communities, platforms, or events
5. Membership Billing & Renewal (Annual)
Memberships are billed on an annual basis. By purchasing a membership, you authorize the Company and its third-party payment processor to charge the applicable annual fee to your selected payment method.
Memberships automatically renew annually unless canceled prior to the renewal date. Members may cancel at any time through their account or by contacting info@cltbourbonsociety.com. Cancellation takes effect at the end of the current billing period.
All membership fees are non-refundable. No prorated refunds will be issued for partial periods, including early cancellation or termination.
The Company reserves the right to modify membership fees upon advance notice. Continued participation constitutes acceptance of updated fees.
6. Events, Tastings & Brand Activations
The Company organizes and promotes events, tastings, educational experiences, and brand activations.
The Company does not manufacture, distribute, sell, or serve alcohol.
Alcohol at events is provided exclusively by licensed third-party venues, distilleries, distributors, or authorized providers.
Participating brands and partners are independent entities. The Company makes no representations or warranties regarding any products, services, or experiences provided by third parties.
7. Alcohol Responsibility & Conduct
By attending or participating in any Company event, you agree to:
- Consume alcohol responsibly
- Comply with all applicable laws and regulations
- Arrange safe and responsible transportation
- Refrain from operating a vehicle while impaired
You assume full responsibility for your conduct and decisions.
8. Assumption of Risk & Release of Liability
Participation in Company activities is voluntary and at your own risk.
You acknowledge and assume all risks associated with participation, including but not limited to:
- Alcohol consumption
- Travel to and from events
- Venue conditions
- Interactions with other participants
To the fullest extent permitted by law, you release, waive, and discharge Charlotte Bourbon Society, North Carolina Agave Sociedad, Charlotte Agave Sociedad, and all affiliated entities, officers, directors, members, managers, employees, agents, volunteers, sponsors, partners, and venues from any and all claims, liabilities, damages, or causes of action, including those arising from negligence.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its affiliates from any claims, damages, or expenses arising from:
- Your conduct at events
- Your violation of these Terms
- Your misuse of the Company platforms or services
10. Third-Party Venues & Providers
Events may be hosted at third-party venues.
The Company is not responsible for:
- Venue operations or conditions
- Staff or service providers
- Alcohol service or compliance
- Safety or security at third-party locations
11. Communications & Email Consent
By becoming a member or engaging with the Company, you consent to receive transactional communications related to:
- Membership administration
- Billing and payments
- Event registrations
- Policy updates
Marketing communications are sent only to individuals who opt in. You may unsubscribe at any time.
12. Third-Party Service Providers
The Company uses third-party providers to operate its business, including but not limited to:
- JoinIt (membership management)
- Constant Contact (email communications)
- Stripe (payment processing)
- WordPress and hosting providers
These providers process data in accordance with their own privacy policies.
13. Intellectual Property
All content, trademarks, branding, and materials associated with CBS, NCAS, CAS, and affiliated brands are owned by or licensed to the Company and are protected by applicable intellectual property laws.
No content may be copied, reproduced, distributed, or used without prior written consent.
14. Prohibited Conduct
You agree not to:
- Violate any laws or regulations
- Sell or distribute alcohol without proper licensing
- Post unauthorized promotions or solicitations
- Impersonate the Company or its representatives
- Engage in harassment, hate speech, or illegal activity
- Interfere with the Website or platform security
Violations may result in immediate removal without refund.
15. User Content
Any content submitted to Company platforms may be used for operational or promotional purposes.
You represent that you have the rights to any content submitted and that it does not infringe on the rights of others.

All services, content, and experiences are provided “as is” and “as available.”
The Company makes no warranties, express or implied, regarding accuracy, availability, or fitness for a particular purpose.

19. Governing Law & Venue
These Terms are governed by the laws of the State of North Carolina.
Any legal action shall be brought exclusively in courts located in or serving Charlotte, North Carolina.
20. Arbitration
21. Severability & Entire Agreement
If any provision is deemed unenforceable, the remaining provisions shall remain in effect.
These Terms, together with the Privacy & Communications Policy, constitute the entire agreement between you and the Company.

2026 Bourbon Hearts Charity Dinner & Auction

I. Event Overview
The 9th Annual Bourbon Hearts Charity Dinner & Auction (“Event”) is produced by Charlotte Bourbon Society, LLC (CBS) in partnership with HeartBright Foundation and hosted at The Revelry North End on Friday, November 6, 2026.
Participation in the Event by sponsors, exhibitors, vendors, brand representatives, ticket holders, volunteers, media personnel, and guests constitutes acceptance of these Terms & Conditions.
HeartBright Foundation will obtain the Special One-Time Permit from NCABC (has applied).
CBS will obtain additional event insurance.
II. Alcohol Compliance & Service Requirements
A. Compliance with NC Alcohol Laws
All alcoholic beverage service shall remain under the authority, supervision, and control of the Event's permit holder(s) and applicable North Carolina ABC laws and regulations.
All participating brands, suppliers, distributors, agencies, and representatives agree to comply with:
- North Carolina ABC laws
- Responsible service practices
- Event operational policies
- Pour size limitations (.25 oz per N.C. ABC Guidelines)
- Direction from Event management and permit holders
B. Pour Staff Requirements
Participating brands are responsible for providing properly trained and legally compliant personnel for service and activation areas unless otherwise approved in writing by Event management.
Event management reserves the right to:
- Refuse service privileges
- Remove noncompliant personnel
- Shut down any activation deemed unsafe or noncompliant
C. Sampling Restrictions
Alcoholic beverages may only be sampled in designated Event areas and in approved sample sizes determined by Event management and permit holder oversight. No outside alcohol may be brought into the Event venue by attendees, sponsors, or participating brands without prior written authorization.
D. Overservice Prevention
Event management may implement consumer tracking systems, tasting passports, wristbands, ticket systems, or similar controls to support responsible alcohol consumption and compliance efforts. Any visibly intoxicated attendee may be refused service and/or removed from the Event without refund.
III. Sponsor & Brand Participation
A. Sponsorship Nature
Sponsor participation constitutes a marketing, advertising, promotional, and hospitality activation opportunity associated with the Event. Participation does not constitute ownership, partnership, or operational control of the Event.
B. Space Assignment
Event management reserves the right to:
- Assign
- Reassign
- Modify
- Relocate activation spaces, sponsor tables, sampling stations, speakeasy rooms, cigar activations, or branded installations as necessary for operational, safety, venue, or production purposes.
C. Setup & Breakdown
Sponsors and exhibitors must adhere to all published setup and breakdown schedules.
Early teardown without written approval may affect future participation eligibility.
D. Auction Participation
Participating brands may be required to contribute auction items, experiences, bottles, merchandise, or hospitality packages as part of Event participation.
All donated auction items become the property of the Event or beneficiary organization upon delivery unless otherwise agreed in writing.
IV. Payment Terms
A. Payments
Participation opportunities are limited and will be confirmed on a first committed, first secured basis once registration and payment are completed.
Unless otherwise agreed in writing, full payment is due no later than 30 days before the Event.
Failure to remit payment may result in cancellation of participation and forfeiture of prior payments.
B. Refund Policy
All sponsorships, activation fees, exhibitor fees, and ticket purchases are non-refundable unless the Event is canceled by Event management.
C. Chargebacks
Any payment dispute or chargeback initiated without a legal basis may result in:
- Immediate cancellation of participation
- Collection efforts
- Recovery of legal fees and administrative costs
V. Insurance, Liability & Indemnification
All sponsors, exhibitors, vendors, and activation partners participate at their own risk and are responsible for maintaining appropriate insurance coverage.
To the fullest extent permitted by law, participating parties agree to indemnify, defend, and hold harmless:
- Charlotte Bourbon Society, LLC
- Charlotte Agave Sociedad
- HeartBright Foundation
- The Revelry North End
- Their affiliates, officers, directors, volunteers, contractors, employees, and agents shall be released from any claims, damages, liabilities, injuries, losses, costs, or expenses arising from participation in the Event.
VI. Cigars, Outdoor Activations & Specialty Experiences
Sponsors participating in cigar lounges, outdoor experiences, fire features, culinary demonstrations, or specialty activations assume all responsibility for compliance with applicable laws, permits, and safety requirements.
Event management reserves the right to modify or discontinue any activation deemed unsafe or operationally disruptive.
VII. Photography, Video & Media Release
By attending or participating in the Event, all attendees and participants grant Event management and affiliated organizations the irrevocable right to use:
- Name
- Likeness
- Voice
- Photography
- Video recordings
- Social media content
for promotional, editorial, advertising, archival, or marketing purposes without compensation.
VIII. Force Majeure
Event management shall not be liable for cancellation, delay, modification, or interruption caused by circumstances beyond reasonable control, including but not limited to:
- Acts of God
- Severe weather
- Venue damage
- Government restrictions
- Public health emergencies
- Labor disputes
- Utility failures
- Supplier failures
- Civil unrest
Event management reserves the right to reschedule, modify, or restructure the Event as reasonably necessary.
IX. Right to Refuse Participation
Event management reserves the right, in its sole discretion, to:
- Refuse participation
- Remove attendees or exhibitors
- Deny admission
- Restrict activations
- Cancel participation agreements for conduct deemed unsafe, disruptive, unlawful, noncompliant, or inconsistent with the Event's standards and mission.
X. Governing Law
These Terms & Conditions shall be governed by and construed under the laws of the State of North Carolina.
Any disputes arising from participation in the Event shall be resolved exclusively in Mecklenburg County, North Carolina.
